The Senior Counsel and Director, Capital Solutions is a newly created role and a key legal advisor to Liberty Mutual Investments’ Capital Solutions platform. The Senior Counsel, Capital Solutions will leverage deep legal expertise to drive critical transactions, manage legal risks, and provide end-to-end support for a wide range of complex credit, hybrid capital, and special situation investments.

 

Success in this position will be driven by a collaborative, solutions-oriented mindset, a commitment to legal excellence, and the ability to build constructive relationships with both internal and external stakeholders. The Senior Counsel, Capital Solutions will play a critical role in enabling Liberty Mutual Investments to optimize deal execution, manage legal risks, and maintain best-in-class operational and legal standards across its growing Capital Solutions portfolio.

 

  • Structure, draft, and negotiate complex investment transactions, including credit, hybrid capital, and special situations investments (e.g., convertible/hybrid or structured preferred securities, holding company notes, mezzanine and subordinated loans, senior secured credit facilities).
  • Provide legal leadership throughout the investment lifecycle, from front end documentation through to amendments and workouts, ensuring robust risk mitigation and optimal outcomes for the firm.
  • Collaborate with investment professionals, portfolio managers, and other business stakeholders to support portfolio construction, underwriting, and ongoing monitoring of investments.
  • Build and maintain effective working relationships with internal partners (legal, risk, compliance, investments, senior management) and external constituencies (borrowers, lenders, outside counsel, and other business partners).
  • Monitor developments in relevant legal and regulatory frameworks; ensure transactions and structures comply with legal requirements.
  • Facilitate consensus-building among diverse stakeholder groups and lead negotiations through complex and ambiguous matters, ensuring efficient and pragmatic resolution of interparty issues.
  • Develop and implement best practices for legal risk mitigation and transaction efficiency across the capital solutions platform.
  • Monitor legal, market, and regulatory developments impacting complex credit and capital structures, advising senior leadership on emerging risks and opportunities.

Qualifications

  • Legal Excellence: Significant relevant experience at leading law firm and/or corporate environments; JD and admission in good standing to a US jurisdiction.
  • Complex Investment Structures: Substantial experience structuring/negotiating complex credit, hybrid capital and special situation investments such as: preferred debt-like equity investments, holding company notes, mezzanine and subordinated loans and senior secured credit facilities involving acquisition finance, asset-based and cash flow lending and unitranche facilities.
  • Stakeholder Management: Demonstrated ability to navigate complexity and drive consensus as well as build and nurture relationships with internal and external stakeholders including but not limited to regulators and business partners.
  • Workouts/Restructurings: Experience with recapitalizations, workouts and restructurings.
  • Action Orientation: Self-starter with a bias for action and implementation; motivated and energized by the opportunity to impact and actively contribute to company objectives. Assertive, takes ownership in overcoming setbacks, driven by sustainable energy, passion for excellence and optimism.

Pay Philosophy: The typical starting salary range for this role is determined by a number of factors including skills, experience, education, certifications and location. The full salary range for this role reflects the competitive labor market value for all employees in these positions across the national market and provides an opportunity to progress as employees grow and develop within the role. Some roles at Liberty Mutual have a corresponding compensation plan which may include commission and/or bonus earnings at rates that vary based on multiple factors set forth in the compensation plan for the role.
