The Senior Counsel and Director, Tax Credits is a newly created role and the firm’s lead transactional attorney on tax credit transactions. Supporting key tax credit initiatives led by the Head of Impact and Sustainable Investments, the Senior Counsel, Tax Credit is responsible for structuring, negotiating, and executing federal (tax equity transactions) and state tax credit investments (including LIHTC and certificated credits) and ensuring best-in-class legal and commercial outcomes. This counsel will engage closely with internal teams and external counterparties to ensure the firm’s tax credit transactions support financial objectives.

 

Success in this position will be driven by a collaborative, solutions-oriented mindset, a commitment to legal excellence, and the ability to build constructive relationships with both internal and external stakeholders. The Senior Counsel, Tax Credits will play a critical role in advancing Liberty Mutual Investments’ strategy to drive economic growth, foster enduring business partnerships, and scale innovative solutions that deliver both risk-adjusted returns and measurable social value.

 

  • Lead, structure, and negotiate the purchase of federal tax credits, including direct purchases and complex partnership structures (e.g., T-Flips, T-holds).
  • Advise on, structure, and execute insurance policy negotiations covering federal tax credit investments ensuring adequate risk mitigation and transaction security.
  • Oversee all phases of state tax credit transactions, including Low Income Housing Tax Credits (LIHTC) and certificated state credits from due diligence through closing and post-closing compliance.
  • Build and maintain effective working relationships with internal partners (tax, legal, risk, investments, senior management) and external constituencies (outside counsel and other transaction partners).
  • Monitor developments in relevant legal and regulatory frameworks; ensure transactions and structures comply with legal requirements.
  • Facilitate consensus-building among diverse stakeholder groups and lead negotiations through complex and ambiguous matters, ensuring efficient and pragmatic resolution of interparty issues.
  • Identify and help realize co-investment and partnership opportunities that advance LMI’s commitment to economic growth, social impact, and superior risk-adjusted returns.

Qualifications

  • Legal Excellence: Significant relevant experience at leading law firm and/or corporate environments; JD and admission in good standing to a US jurisdiction.
  • Federal Tax Credit Transactions: A transactional attorney who can negotiate the structuring and purchase of federal tax credits, including through direct purchases and partnership structures; experience with negotiation of insurance policies covering such tax credits.
  • Stakeholder Management: Demonstrated ability to navigate complexity and drive consensus as well as build and nurture relationships with internal and external stakeholders including but not limited to regulators and business partners.
  • State Tax Credit Transactions: Ability to manage state tax credit transactions, including LIHTC and certificated state credits.

Pay Philosophy: The typical starting salary range for this role is determined by a number of factors including skills, experience, education, certifications and location. The full salary range for this role reflects the competitive labor market value for all employees in these positions across the national market and provides an opportunity to progress as employees grow and develop within the role. Some roles at Liberty Mutual have a corresponding compensation plan which may include commission and/or bonus earnings at rates that vary based on multiple factors set forth in the compensation plan for the role.
